1. Acceptance

By creating an account or using CorpusIQ (“Service”), you agree to these Terms. If you do not agree, do not use the Service. These Terms form a binding agreement between you and CorpusIQ LLC (“CorpusIQ,” “we,” “us”).

2. Eligibility

You must be at least 18 years old and have the authority to accept these Terms on behalf of your business. Accounts are not transferable without our written consent.

3. License

Subject to your compliance with these Terms and payment of applicable fees, CorpusIQ grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You may not sublicense, resell, or white-label the Service without our written consent.

4. Your data

You retain all ownership of your business data. By connecting third-party services, you grant CorpusIQ the right to access and index that data solely to provide the Service. We do not train AI models on your data. See our Privacy Policy for details.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulation.
• Attempt to reverse-engineer, scrape, or replicate the Service.
• Use the Service to process or transmit sensitive personal health information (PHI) or payment card data beyond what is permitted by applicable law.
• Abuse rate limits, circumvent access controls, or interfere with infrastructure.
• Share your account credentials with unauthorized parties.

6. Fees and billing

Subscription fees are billed monthly or annually as selected at signup. All fees are charged in USD. Refunds are not provided for partial periods. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension of your account.

7. Service availability

We target 99.5% monthly uptime but do not guarantee uninterrupted service. We may perform maintenance, apply updates, or suspend access for security reasons without prior notice. CorpusIQ is not liable for downtime caused by third-party services (e.g., Shopify, Google, QuickBooks).

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AI-generated responses may be inaccurate. You are responsible for verifying all answers before acting on them.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORPUSIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

You may cancel your account at any time from the billing settings. We may suspend or terminate your account for breach of these Terms, non-payment, or suspected fraudulent activity. Upon termination, your access ends immediately and data may be deleted after 30 days.

11. Governing law

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.

12. Changes to these terms

We may update these Terms with 30 days' notice via email or in-app notification. Continued use after the effective date constitutes acceptance.
